Welcome to Finman Taxes ("Finman", "Platform", "we", "us", or "our"). Finman is the world's first dedicated online marketplace connecting clients with Chartered Accountants (CAs), tax consultants, financial advisors, and business solution experts across all domains — at one platform, delivering any solution, anytime. Please read these Terms and Conditions ("Terms") carefully before accessing or using our Platform. By registering, browsing, or transacting on Finman Tax Marketplace, you agree to be legally bound by these Terms.
1. Definitions
For the purpose of these Terms and Conditions, the following definitions shall apply:
• "Platform" means the Finman Tax Marketplace website, mobile application, and all associated digital services operated by Finman.
• "User" means any individual or entity that accesses or uses the Platform, including Clients and Service Providers.
• "Client" means any individual, business, or organization that uses the Platform to seek tax, financial, or business advisory services.
• "Service Provider" means a Chartered Accountant (CA), tax consultant, financial advisor, business solution expert, or any other professional registered on the Platform to offer services.
• "Services" means all tax preparation, tax filing, GST/VAT compliance, income tax advisory, audit services, business registration, financial planning, bookkeeping, payroll management, legal advisory, and any other professional services offered on the Platform.
• "Job Posting" means a service request, project, or task listed by a Client for Service Providers to bid on or respond to.
• "Engagement" means a contractual service arrangement confirmed between a Client and a Service Provider through the Platform.
• "Escrow" means funds held in trust by Finman on behalf of both parties until Engagement milestones are satisfied.
• "Finman Fees" means the service charges, commissions, or platform usage fees payable to Finman as described in Section 9.
2. About the Platform
Finman Tax Marketplace is the world's first dedicated marketplace exclusively designed for tax, accounting, and business solutions. The Platform serves as a neutral intermediary enabling Clients to discover, evaluate, engage, and pay professional Service Providers. Finman does not itself provide tax or financial advice; all professional services are rendered solely by registered Service Providers.
The Platform is designed to facilitate:
• Job postings and proposals for CA and tax-related work
• Direct hiring of Chartered Accountants and tax professionals
• Delivery of business registration, compliance, and advisory services
• GST filing, income tax return preparation, audit, and assurance services
• Corporate finance, valuation, and financial modeling
• Payroll management, bookkeeping, and accounting outsourcing
• Any other lawful business or financial advisory service agreed upon between Users
3. Eligibility and Registration
3.1 General Eligibility
To use the Platform, you must be at least 18 years of age, legally capable of entering into binding contracts, and not prohibited from using the Platform under applicable laws.
3.2 Service Provider Registration
Service Providers must provide accurate credentials and professional qualifications during registration. Finman reserves the right to verify and approve or reject registrations at its sole discretion. The following are required for Service Provider onboarding:
• Valid proof of professional qualification (CA certificate, tax consultant registration, or equivalent)
• Government-issued identity proof
• Valid professional practice registration number (where applicable)
• Bank account details for payment disbursement
• Agreement to Finman's Code of Professional Conduct
3.3 Client Registration
Clients must register with valid contact information and agree to these Terms. Businesses must register under their legal entity name and provide GST/tax identification numbers where applicable.
3.4 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify Finman immediately of any unauthorized access or breach of security at support@finman.com.
4. Services and Job Marketplace
4.1 Posting Jobs
Clients may post Job Listings for any tax, accounting, legal, financial, or business advisory requirement. Job postings must be accurate, lawful, and not misleading. Finman reserves the right to remove any posting that violates these Terms or applicable law.
4.2 Service Provider Bids and Proposals
Service Providers may submit proposals for Client Job Listings. Proposals must be professional, accurate, and reflect the Service Provider's genuine qualifications and ability to perform the stated services.
4.3 Service Categories
The Platform supports (but is not limited to) the following service categories:
• Income Tax Filing & Advisory (Individuals and Corporates)
• GST Registration, Filing, and Compliance
• Company Incorporation & Business Registration
• ROC Filings & MCA Compliance
• Tax Audit, Statutory Audit, and Internal Audit
• Transfer Pricing and International Tax
• TDS/TCS Returns and Compliance
• Bookkeeping and Accounting Services
• Payroll Processing and HR Compliance
• Financial Planning and Investment Advisory
• Business Valuation and Due Diligence
• FEMA, RBI Compliance and Foreign Exchange Advisory
• Startup Advisory and Fundraising Support
• Any other lawful financial, tax, or business solution
4.4 Service Delivery
Service Providers are solely responsible for the professional quality, accuracy, timeliness, and completeness of services delivered. Finman is not liable for errors, omissions, or delays by Service Providers.
5. Obligations of Service Providers
By registering as a Service Provider, you agree to:
• Maintain and keep current all required professional licenses and registrations
• Provide services with due professional care, skill, and diligence
• Comply with all applicable professional standards (ICAI guidelines, CBDT rules, GST law, Companies Act, etc.)
• Maintain client confidentiality and comply with applicable data protection laws
• Not subcontract work without the prior written consent of the Client
• Disclose any conflict of interest before accepting an Engagement
• Issue proper receipts, invoices, and work completion certificates
• Cooperate with Finman's dispute resolution process
• Not solicit Clients for off-platform transactions during or after Platform Engagements
6. Obligations of Clients
By registering as a Client, you agree to:
• Provide accurate, complete, and timely information required for service delivery
• Cooperate with the Service Provider during the course of the Engagement
• Make payments as agreed and in accordance with these Terms
• Not misuse or share the deliverables contrary to applicable law
• Not use the Platform for any unlawful, fraudulent, or harmful purpose
• Provide genuine feedback and reviews based on actual service experience
• Not solicit Service Providers for off-platform engagement to circumvent Platform Fees
7. Prohibited Activities
The following activities are strictly prohibited on the Platform:
• Providing false credentials, qualifications, or misrepresenting professional status
• Facilitating or assisting in tax evasion, money laundering, or financial fraud
• Uploading malicious software, viruses, or engaging in any cyberattack
• Harassment, discrimination, or abusive behavior toward other Users
• Posting misleading, defamatory, or illegal content
• Creating multiple accounts for deceptive purposes
• Circumventing Finman's payment systems or fee structure
• Reverse-engineering, scraping, or unauthorized extraction of Platform data
• Violating any applicable Indian or international law
Finman reserves the right to suspend or terminate any account found in violation of these prohibitions without prior notice.
8. Engagement Terms
8.1 Contract Formation
An Engagement is formed when a Client accepts a Service Provider's proposal and makes the required payment or escrow deposit. The Engagement Terms set out the scope, timelines, deliverables, and fees agreed between the parties.
8.2 Amendments
Any changes to an active Engagement must be agreed upon in writing through the Platform's messaging system. Additional fees for scope changes must be agreed upon before work commences.
8.3 Cancellations
Cancellation policies are governed by the specific Engagement Terms. In the absence of specific terms, the following default policy applies: cancellation before commencement entitles the Client to a full refund; cancellation after commencement may attract pro-rated charges based on work completed.
9. Payments and Fees
9.1 Platform Fees
Finman charges a platform service fee on transactions completed through the Platform. Fee structures are published on the Platform's pricing page and may be updated from time to time with prior notice to Users.
9.2 Escrow and Payment Processing
Client payments for Engagements are held in escrow until the Client confirms satisfactory delivery or a dispute resolution outcome is reached. Finman uses third-party payment gateways compliant with applicable RBI regulations.
9.3 Taxes on Platform Fees
Applicable GST and other statutory taxes will be charged on Finman's platform fees as required by law. Users are responsible for their own tax compliance on income earned or expenses incurred through the Platform.
9.4 Refunds
Refund requests must be raised within 7 days of service delivery. Refunds are subject to Finman's refund policy and dispute resolution outcomes. No refunds will be processed for completed and accepted Engagements.
10. Intellectual Property
All content, trademarks, logos, technology, and materials on the Platform are the exclusive property of Finman Tax Marketplace or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose only. Unauthorized reproduction, distribution, or commercial use of any Platform content is strictly prohibited.
Service Providers retain ownership of original work product created for Clients unless otherwise agreed in writing. Upon full payment, Clients receive a license to use the deliverables for their stated purpose.
11. Confidentiality and Data Privacy
Finman is committed to protecting the privacy and confidentiality of all User data. Our data handling practices are governed by our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the collection, processing, and use of your data as described in the Privacy Policy.
All Users agree to maintain strict confidentiality of client financial information, tax records, and business data accessed through the Platform. Service Providers must comply with the requirements of the Information Technology Act, 2000, and applicable data protection regulations.
12. Ratings, Reviews, and Professional Conduct
After completion of an Engagement, both Clients and Service Providers may leave ratings and reviews. All reviews must be honest, factual, and based on genuine experience. Finman reserves the right to remove reviews that are fraudulent, abusive, or violate these Terms. Manipulation of ratings or reviews is a serious violation and may result in account termination.
13. Dispute Resolution
13.1 Internal Resolution
In the event of a dispute between a Client and a Service Provider, parties are encouraged to first attempt resolution directly through the Platform's messaging system within 7 days.
13.2 Finman Mediation
If direct resolution fails, either party may escalate the dispute to Finman's dispute resolution team. Finman will review the case, communicate with both parties, and issue a non-binding recommendation within 14 business days.
13.3 Arbitration
If mediation fails to resolve the dispute, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, India. The proceedings shall be conducted in English.
13.4 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause, the courts of Mumbai shall have exclusive jurisdiction.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Finman Tax Marketplace shall not be liable for:
• Any professional advice, tax filing errors, or financial losses arising from the actions of Service Providers
• Indirect, incidental, special, consequential, or punitive damages
• Losses due to unauthorized access to or alteration of User data
• Temporary unavailability or interruption of Platform services
• Any third-party claims arising out of a User's conduct on the Platform
Finman's total aggregate liability for any claim shall not exceed the total platform fees paid by the User in the three months preceding the incident giving rise to the claim.
15. Disclaimers
The Platform is provided on an "as is" and "as available" basis. Finman does not warrant that the Platform will be error-free, secure, or uninterrupted. Finman makes no representations regarding the qualifications, competence, or performance of any Service Provider. Clients are advised to independently verify credentials and exercise due diligence before entering into any Engagement.
16. Indemnification
You agree to indemnify, defend, and hold harmless Finman Tax Marketplace, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any dispute between Users in which you are involved.
17. Modifications to Terms
Finman reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with an updated effective date. Your continued use of the Platform after the effective date of modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
18. Termination
Finman may suspend or terminate your account at any time for breach of these Terms, fraudulent activity, or upon regulatory or legal requirements, without prior notice. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination shall continue to apply, including Sections 10, 11, 13, 14, 15, 16, and 18.
19. Force Majeure
Finman shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, government actions, cyberattacks, pandemics, power outages, or internet failures.
